Terms and Conditions

Definitions

  • Agreement. Any contract, proposal, statement of work, onboarding document, or related materials approved by both parties for cooperation.
  • Client Assets. Any files, credentials, databases, content, branding materials, documentation, or information supplied by the client for project execution.
  • Deliverables. All agreed work outputs, including applications, deployments, integrations, documentation, cloud configurations, or development-related materials provided under the project scope.
  • Internal Tools. Any proprietary technologies, deployment methods, software utilities, templates, frameworks, scripts, code libraries, infrastructure solutions, workflows, or technical resources owned or licensed by our company.
  • Final Deliverables. The completed and approved version of the work product delivered to the client according to the agreement.
  • Project. The set of services, recruitment activities, cloud development, Heroku deployment, maintenance, consulting, or engineering tasks described in the approved documentation.
  • Services. All professional services provided by our company, including developer recruitment, cloud engineering, application deployment, integration, optimization, and technical consulting.
  • External Resources. Third-party software, hosting services, APIs, plugins, cloud infrastructure, stock materials, or licensed technologies incorporated into the project.

Service Delivery

Our company agrees to provide development, deployment, recruitment, consulting, and technical support services according to the approved project scope and milestone schedule.

Proposals and Scope

All commercial proposals remain valid for thirty (30) calendar days unless another validity period is specified in writing.

If the proposal is not approved within this timeframe, we reserve the right to revise pricing, timelines, staffing availability, or technical recommendations before resubmission.

Fees and Expenses

  • Project Fees. The client agrees to pay all agreed fees and applicable taxes according to the payment structure outlined in the agreement.
  • Third-Party Costs. Costs related to hosting providers, Heroku subscriptions, cloud services, software licenses, monitoring tools, or external integrations are billed separately unless stated otherwise.
  • Reimbursable Expenses. Project-related expenses reasonably incurred during service delivery may be invoiced to the client at cost.

Payment Terms

Invoice Payments

Invoices must be paid within five (5) business days from the issue date unless alternative payment terms are agreed in writing.

Payment Milestones

Payments shall follow the billing schedule, milestones, or monthly engagement terms described within the project documentation. Late payments may result in delayed delivery timelines or temporary suspension of services.

Scope Modifications

Change Requests

Any requested modification to the approved scope must be submitted in writing for evaluation.

We will provide details regarding any impact on project timelines, resource allocation, pricing, or delivery schedules.

Minor Adjustments

Small revisions or additions may be completed under standard hourly billing rates without creating a separate agreement.

Significant Changes

Major technical revisions, infrastructure redesigns, additional cloud environments, or expanded functionality may require a revised proposal or additional agreement.

Approval of Updated Proposals

Any revised proposal related to scope modifications should be approved within fourteen (14) business days to maintain project continuity.

Delays and Scheduling

Client-Caused Delays

The client agrees to provide approvals, materials, access credentials, feedback, and required information without unnecessary delay.

Any postponements caused by missing information or delayed communication may extend delivery timelines proportionally.

Company Delays

If delays occur due to internal circumstances, we will notify the client promptly and provide updated expectations.

Events Beyond Reasonable Control

Neither party shall be considered in breach of the agreement for delays caused by events outside reasonable control, including natural disasters, internet outages, government actions, labor disputes, cyberattacks, or force majeure events.

Review and Acceptance

Quality Assurance

Deliverables are reviewed and tested using commercially reasonable industry practices before submission to the client.

Approval Timeline

The client has seven (7) business days to review submitted deliverables and provide written approval or detailed rejection feedback.

If revisions are necessary, we will make reasonable corrections and resubmit the updated deliverables for additional review.

Failure to provide feedback within the review period may be treated as acceptance of the submitted work.

Client Responsibilities

The client agrees to:

  • Provide lawful and accurate materials for project execution;
  • Ensure ownership or permission for all supplied content and resources;
  • Review deliverables and provide timely feedback;
  • Verify all client-supplied content before publication or deployment;
  • Make timely decisions regarding integrations, hosting, or third-party services.

Additional work caused by incomplete or inaccurate information may result in additional billing.

Portfolio and Attribution Rights

Project Attribution

Unless otherwise agreed in writing, our company may include a discreet attribution or technical reference within project materials.

Portfolio Usage

We reserve the right to display completed projects, deployment examples, screenshots, technical summaries, or case studies within portfolios, presentations, and marketing materials unless restricted by confidentiality obligations.

Confidentiality

Both parties agree to protect confidential business, technical, operational, and commercial information disclosed during cooperation.

Confidential information may not be disclosed to third parties except where required for project execution, legal compliance, or authorized business operations.

Information shall not be considered confidential if it:

  • Is publicly available without breach of obligation;
  • Was lawfully known before disclosure;
  • Is independently developed;
  • Is received from another unrestricted source.

Relationship of the Parties

  • Independent Contractor. Our company operates as an independent contractor. Nothing within this agreement establishes employment, partnership, agency, or joint venture relationships.
  • Third-Party Specialists. We may engage subcontractors, consultants, or external specialists while remaining responsible for agreed deliverables.
  • Non-Exclusive Cooperation. Both parties remain free to engage with other businesses, clients, contractors, or service providers during the cooperation period.

Limitation of Liability

All services are provided on an “as available” and “as is” basis unless explicitly stated otherwise.

To the maximum extent permitted by law, our company shall not be liable for indirect, incidental, consequential, or financial damages, including business interruption, lost profits, or data loss.

Any liability arising from the provided services shall be limited to the total amount paid by the client for the affected services.

Intellectual Property Rights

After full payment is received, the client receives a non-exclusive, perpetual right to use the final deliverables for agreed business purposes. The client may not extract, redistribute, reverse engineer, or commercially reuse proprietary company tools, frameworks, or reusable technical solutions without written authorization.

Our company retains ownership of all pre-existing methodologies, deployment systems, reusable code libraries, technical processes, and internal development resources.

Support and Maintenance

Post-launch support, maintenance, updates, infrastructure monitoring, optimization, and troubleshooting services may be provided under separate agreements or billed at standard rates. Support obligations become void if unauthorized third parties modify the deliverables or infrastructure.

Changes to These Terms

We reserve the right to modify or update these Terms and Conditions at any time.

Updated versions will be published on this page, and continued use of the website or services constitutes acceptance of the revised terms.
